Merger & Acquisition: in a cross-border merger and acquisition (M&A) transaction, he quickly spotted and enlightened a shareholder (target) of the transaction that he and the cofounder were engaging in was detrimental to the value of the business and there were too many traps placed that would occasion to losing the company based on the earn-out M&A model with poorly picked EBIDTA rates. The total deal value was USD 113 million.

Corporate & Tax Structuring: provided in-depth corporate ad tax structures for a European Union (EU) based company while ensuring that the company does not attract a negative image, therefore, adopting some standards under the Organisation of Economic Cooperation and Development (OECD). The team was mindful of not losing prospects who might have concerns about certain corporate structures.

Natural Resources: he has helped a client understand the dynamics of gold transactions in Kenya and majorly Eastern Africa block, which resulted in securing the client from being scammed more than USD 130 million.

Cross Listing: he has advised on an intended cross-listing project that focused on exploring the use of marijuana in various States in the US. The company was interested in cross-listing its Over Counter (OTC) shares in Kenya for purposes of raising funds to the tune of about united states dollars fifty million (USD 50 million).

FinTech & Communication Authority Licensing: he has provided various transactional strategies directly and indirectly to some of the biggest tech companies in the world. The strategies focus on how best foreign companies can access the Kenyan market considering the challenges of issuing 30% shares to a Kenyan citizen(s). The challenge is apparent due to a lack of clarity on how to seek a waiver.

Landowner & Financier Deals: he has advised on landowner and financier deals that required a capital investment running into at least USD 170 million and projected gross revenue of about USD 240 million.

Pro Bono

Intellectual Property Training: he trained some music artists on how best to go about registration of their songs with the Kenya Copyright Board (KECOBO) and what to always factor in during the production of a song, which includes the development of loops, securing the vocals, effecting the mastering of the loops and vocals.

He has offered tremendous representation that has resulted in earning respect among his peers, juniors, and senior practitioners – at one point a Judge said “Ong’anya always appears in Court and ready to proceed with his matters.”

He has advised and represented clients in various intricate transactions such as cross-border distribution contract disputes, complex insured and broker procurement disputes, shareholders disputes, tax disputes, intellectual property disputes, and real estate disputes, to mention a few.

Notable Transactions

EPZ Tax Refunds: he has advised and represented a company on a tax refund dispute since the Kenya Revenue Authority (KRA). These are refund claims that pre-exist the current iTax KRA System whereby KRA has been dismissing any claim that is not captured in the iTax System. It has previously stated that tax collected must be as per the law and specifically provided for under the law, any other collection is unlawful.

Shareholders Disputes: he is representing shareholders who are embroiled in dispute due to fraud that was caused by a former member of the company. The fraud resulted in frustrating the use or access of various properties in terms of fixed assets and money. The total value touching on the dispute is worth more than KES. 500 million.

Economic Crimes: he has secured a “no case to answer” decision from the Court after a Client he was representing was framed by people at the Nairobi County Government’s offices that the Client had orchestrated a plan that resulted in taking a file concerning a dispute between Nairobi County Government and Proland Limited over payments amounting to KES. 131,210,423.12.

Cybercrimes and Bank Fraud: he successfully represented an accused who was falsely accused of having hacked or accessed various bank accounts at Stanbic Bank (Kenya) and transferred funds to his account at Equity Bank (Kenya) and later to KCB (Kenya).

Economic Crimes and Procurement Disputes: he is currently representing two persons who were wrongly accused of engaging in procurement malpractice that resulted in Kenya Power and Lighting Company (KPLC) making payments for unapproved purposes or projects. The case is touching on values above KES. 300 million.

Pro Bono

Secured Release: he has represented a juvenile (this is before the Children’s Act) to be released upon requesting an alternative dispute resolution mechanism between the complainant and the child offender. The case has since been withdrawn and a consent was signed for purposes of allowing the child offender’s parents to refund any money taken and the phone that was stolen.

Sentence Reduction: he represented a person convicted and handed a death sentence by the High Court. At the Court of Appeal, he successfully argued to have the death sentence to be reduced, which the Court of Appeal agreed with him and revised to a 25-year sentence factoring in the years in remand and time already served.

The Transition Authority: he was part of a team that assisted in coming up with a mechanism for the transfer of assets and liabilities from the defunct Municipal Authorities to the County Governments pursuant to the adoption of the Constitution of Kenya 2010 and the Transition to Devolved Government Act.  The assignment involved analyzing various documents with a view of establishing the assets and liabilities available in the counties as preliminary information to assist with the development of the strategy for the transfer of the identified assets and liabilities to the county governments.

Kenya Judges and Magistrates Association (KMJA): he helped in successfully developing proposals on the following projects; sensitization of judges and magistrates on Article 43 of the Constitution of Kenya 2010 i.e. Economic, Social and Cultural rights; the implementation of Traditional Justice Systems envisaged under the Constitution of Kenya 2010; the formulation of a guide book for the Kadhis Courts of the Republic of Kenya; and the role of Court-users Committees in doing away with a backlog of cases in the Judiciary.

On a separate assignment, he was also contracted to conduct research and provide an analysis of judicial precedents in the area of Refugee Law to assist KMJA in carrying out its noble aim of sensitization in the area of Refugee Law.
